These Terms of Service (“Terms”) govern your access to and use of the website, applications, and services (collectively, the “Services”) provided by JewelStack, a jewellery technology platform operated by Bytive Technologies (“JewelStack,” “Bytive,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Eligibility & accounts
You must be at least 18 years old and capable of entering into a binding agreement to use the Services. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
2. Use of the Services
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services in accordance with these Terms. You agree not to:
- Use the Services for any unlawful, fraudulent, or unauthorised purpose;
- Interfere with, disrupt, or compromise the integrity or security of the Services;
- Attempt to gain unauthorised access to any systems, accounts, or data;
- Reverse engineer, copy, or create derivative works from the Services except as permitted by law;
- Resell, sublicense, or otherwise commercially exploit the Services without our written consent.
3. Customer data
You retain ownership of the data you and your users submit to the Services (“Customer Data”). You grant us a limited licence to host, process, and use Customer Data solely to provide and improve the Services. You are responsible for the accuracy and legality of your Customer Data and for obtaining any necessary consents.
4. Intellectual property
The Services, including all software, design, text, graphics, and trademarks, are owned by Bytive or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you, no rights are transferred under these Terms.
5. Fees & payment
Where the Services are provided under a paid plan, you agree to pay the applicable fees as described in your order or subscription agreement. Fees are non-refundable except as required by law or expressly stated. We may change pricing with reasonable notice.
6. Third-party services
The Services may integrate with or link to third-party products and services. We are not responsible for the content, policies, or practices of any third party, and your use of those services is governed by their respective terms.
7. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
8. Limitation of liability
To the maximum extent permitted by law, JewelStack and Bytive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim shall not exceed the amount you paid us for the Services in the twelve months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless JewelStack, Bytive, and their affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Services, your Customer Data, or your breach of these Terms.
10. Termination
We may suspend or terminate your access to the Services at any time if you breach these Terms or if we discontinue the Services. Upon termination, your right to use the Services ceases, and provisions that by their nature should survive will continue to apply.
11. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
12. Changes to these Terms
We may revise these Terms from time to time. When we do, we will update the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
